4. Intellectual Property Rights

7. Fees and Payment
Fees for consulting services are outlined in a separate engagement agreement signed by both parties. Unless otherwise agreed, fees are billed on a monthly or project milestone basis and are due within 30 days of the invoice date. Late payments may incur interest at a rate of 1.5 percent per month or the maximum rate permitted by applicable law, whichever is lower.
All fees are stated in United States Dollars (USD). Clients are responsible for any applicable taxes, duties, or levies imposed by governmental authorities in connection with the services, excluding taxes based on GFT Consult's net income.
8. Confidentiality
Both parties agree to maintain the confidentiality of all non-public information shared during the course of a consulting engagement (Confidential Information). Confidential Information includes but is not limited to business strategies, financial data, customer information, proprietary methodologies, trade secrets, and any information designated as confidential.
Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law or legal process. This confidentiality obligation survives the termination of the consulting engagement for a period of five years.
9. Disclaimer of Warranties

10. Limitation of Liability

Upon termination, your right to use our website and services will immediately cease. The provisions of these Terms regarding intellectual property, confidentiality, limitation of liability, indemnification, dispute resolution, and governing law shall survive termination.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Any legal action or proceeding arising out of or relating to these Terms or our services shall be instituted exclusively in the state or federal courts located in Salt Lake County, Utah. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue or inconvenient forum.
14. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good-faith negotiations. If the dispute cannot be resolved amicably within 30 days of written notice, the parties agree to submit the dispute to mediation administered by the Utah Dispute Resolution Center or another mutually agreeable mediation service.
If mediation does not resolve the dispute within 60 days of the mediation request, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Salt Lake City, Utah, by a single arbitrator. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information.
15. Class Action Waiver
To the fullest extent permitted by law, you agree that any dispute, claim, or proceeding arising out of or relating to these Terms or our services shall be conducted on an individual basis only and not as a class, consolidated, representative, collective, or private attorney general action. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.
16. Entire Agreement
These Terms, together with any applicable engagement agreement and Privacy Policy, constitute the entire agreement between you and GFT Consult regarding your use of our website and services, superseding any prior agreements or understandings, whether written or oral.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by GFT Consult to assert a right or provision under these Terms shall not constitute a waiver of that right or provision.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
